1. About Kudos AiN and These Terms

These Terms of Service ("Terms") govern your access to and use of the Kudos AiN platform ("Platform"), operated by Kudos Ain Ltd, a company registered in England and Wales under Company Number 17177713, with its registered office at the address filed at Companies House ("we", "us", "our").

Kudos AiN is the Affiliate Impact Network — a subscription-based platform that enables members ("Micro Founders") to earn passive income through a referral commission network, access educational content through Kudos Campus, and contribute to Community Prosperity Pools that fund community development projects.

By registering for, accessing, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility and Registration

2.1 Age Requirement

You must be at least 18 years of age to register as a member. By registering, you confirm that you meet this requirement. Individuals under 18 may not create an account under any circumstances.

2.2 Accurate Information

You must provide accurate, complete, and current information during registration, including your full name, email address, and WhatsApp number. You are responsible for maintaining the accuracy of this information and updating it when necessary.

2.3 One Account Per Person

Each individual may hold only one active account. Creating multiple accounts to circumvent restrictions, earn additional commissions, or manipulate the referral system is strictly prohibited and will result in permanent termination of all associated accounts.

2.4 Geographic Restrictions

The Platform is available in Kenya and other jurisdictions where Kudos Ain Ltd determines it is legally permissible to operate. We reserve the right to restrict access from any jurisdiction at any time without notice.

2.5 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at matt@kudosmiracles.org if you suspect any unauthorised access to your account.

3. Membership Tiers and Pricing

3.1 Entry Fee

Standard membership requires a one-time entry fee of KES 100, payable via M-Pesa at the time of registration. This fee is non-refundable once your account has been activated and your referral code has been issued.

3.2 Monthly Subscription

Following your first free month, membership is maintained through a monthly subscription. Current pricing is:

• Standard Rate: KES 250 per month
• Influencer Rate: KES 100 per month (available only to members who joined through an active Founding Influencer code during the founding period)

3.3 Annual Membership

Members may upgrade to annual membership for KES 1,000 per year, which includes the entry fee and unlocks additional benefits including Tier 5 commission earnings, priority competition access, Campus hostel co-ownership stake, and voting rights.

3.4 Pricing Changes

We reserve the right to adjust subscription pricing with a minimum of 30 days' written notice to active members. Locked rates (such as Founding Influencer rates) will be honoured for the duration of the lock period as specified at the time of joining.

3.5 Free Trial Period

New members receive one free month following payment of the entry fee. After this period, subscription payments must be maintained to retain access to commission payments and Kudos Campus.

3.6 Payment Processing

All payments are processed via M-Pesa or such other payment provider as we may designate from time to time. Kudos Ain Ltd does not store your payment credentials. All payment processing is subject to the terms and conditions of the relevant payment provider.

4. Commission Structure and Payments

4.1 Commission Structure

Members earn commissions through a multi-tier referral network. The current commission structure is as follows:

Entry Fee Commissions (one-time per referred member):

• Tier 1 (direct referrals): 15% — or up to 20% for qualifying Founding Influencers
• Tier 2: 5%
• Tier 3: 2.5%
• Tier 4: 1%
• Tier 5 (Annual members only): 0.5%

Monthly Recurring Commissions (paid each month per active referred member):

• Tier 1: 2% of subscription value
• Tier 2: 1%
• Tier 3: 1%
• Tier 4: 1%

4.2 Commission Eligibility

Commissions are earned only when:

• Your referral completes their entry fee payment and account activation
• Your own account subscription is active and in good standing
• The referred member's subscription remains active

4.3 Frozen Accounts

If your subscription lapses, your referral network remains intact but commission payments are suspended ("frozen"). Your network continues to accumulate. Reactivating your subscription resumes commission payments — no back-payments of missed subscriptions are required.

4.4 Payment Processing

Commissions are processed and paid to your registered M-Pesa number on a weekly basis (every Friday — "Payday Friday"). Minimum payout threshold is KES 50. Commissions below this threshold accumulate until the threshold is met.

4.6 Blockchain Recording

All transactions are recorded in our secure database and will be migrated to the Stellar blockchain ledger as our technical infrastructure develops. This ensures permanent, verifiable, and transparent recording of all commission payments.

5. Founding Influencer Programme

5.1 Founding Influencer Status

Founding Influencer status is a gifted, lifetime membership granted at the sole discretion of Kudos Ain Ltd to individuals selected during the founding period. Founding Influencers receive:

• Free lifetime membership (no entry fee, no monthly subscription)
• Enhanced Tier 1 commission rate of up to 20%
• Their referrals locked at the 100 KSH/month rate for the specified lock period
• Recognition as a Founding Partner of the platform

5.2 Founding Influencer Obligations

In accepting Founding Influencer status, you agree to:

• Represent the platform honestly and accurately to your audience
• Not make income guarantees or misleading claims about earnings
• Disclose your Founding Influencer status and any material benefit you receive when promoting the platform
• Comply with all applicable advertising and endorsement regulations in your jurisdiction

5.3 Golden Codes

Founding Influencers are issued a unique Golden Code. This code is personal and non-transferable. Sharing your code with others for the purpose of gaming the commission system is prohibited. Golden Codes may be revoked if misused.

5.4 Termination of Founding Status

Founding Influencer status may be revoked if you materially breach these Terms, make false or misleading claims about the platform, or engage in conduct that damages the reputation of Kudos Ain Ltd or the Kudos Miracles ecosystem.

6. Kudos Campus Access

6.1 Campus Content

Active members receive access to Kudos Campus, our educational platform providing practical business and entrepreneurship content. Campus content is provided "as is" and is subject to ongoing development. The number of available lessons, worlds, and programmes will grow over time.

6.2 Content Accuracy

While we endeavour to ensure Campus content is accurate and up-to-date, we make no warranty as to the accuracy, completeness, or fitness for purpose of any educational content. Campus content is for educational purposes only and does not constitute professional, legal, financial, or business advice.

6.3 Intellectual Property in Campus

All Campus content, including but not limited to lessons, videos, assessments, and course materials, is the intellectual property of Kudos Ain Ltd. You may not copy, reproduce, distribute, or create derivative works from Campus content without our prior written consent.

6.4 Campus Credentials

Where Campus credentials or certificates are issued, these are issued by Kudos Ain Ltd and are not accredited by any external academic body unless explicitly stated. Blockchain-verified credentials represent completion of our internal programme only.

7. Community Prosperity Pools

7.1 Pool Contributions

A percentage of every subscription payment is automatically allocated to the Community Prosperity Pools:

• Competition Pool: 25% of monthly subscription payments
• Campus Pool: 30% of monthly subscription payments

7.2 Pool Governance

Pool fund allocation decisions are made by Kudos Ain Ltd in consultation with the community through the DemoCry governance platform. Annual members have formal voting rights in pool allocation decisions.

7.3 Pool Transparency

Pool balances are publicly visible on the platform dashboard and will be recorded on blockchain as our technical infrastructure develops. Pool funds are held separately from operational funds.

7.4 Competition Pool Distribution

Competition Pool funds are distributed to qualifying members through the Kudos Hustler Competition, the terms and conditions of which are published separately. Eligibility criteria and prize structures are determined by Kudos Ain Ltd and may change with notice.

8. Acceptable Use and Conduct

You agree to use the Platform in a manner that is lawful, honest, and consistent with the values of the Kudos Miracles ecosystem. Specifically, you agree to:

• Represent the platform honestly to your network and audience
• Clearly disclose when you will earn a commission from referrals
• Not make income guarantees or misleading projections to potential members
• Respect the rights, privacy, and dignity of other members
• Not engage in harassment, bullying, or discriminatory behaviour toward other members or platform staff
• Not use the platform for any unlawful purpose
• Comply with all applicable laws in your jurisdiction regarding advertising, endorsements, and multi-level marketing

9. Prohibited Activities

The following activities are strictly prohibited and will result in immediate account termination:

• Creating multiple accounts to earn additional commissions or circumvent restrictions
• Self-referral or circular referral arrangements designed to generate artificial commission payments
• Making false, misleading, or unsubstantiated claims about potential earnings to recruit members
• Spamming or sending unsolicited communications to recruit members
• Using automated systems, bots, or scripts to generate referrals or interactions
• Attempting to hack, manipulate, or reverse-engineer any aspect of the Platform
• Sharing, selling, or transferring your account or referral code to another person
• Using the Platform to facilitate money laundering, fraud, or any other criminal activity
• Impersonating Kudos Ain Ltd, its staff, or other members
• Disparaging or making false statements about the Platform, Kudos Ain Ltd, or its founders

10. Intellectual Property

10.1 Our Intellectual Property

All content on the Platform, including but not limited to the Kudos AiN name and logo, Kudos Miracles ecosystem, DemoCry, Kudos Campus, the commission engine design, software, text, graphics, and other materials, is owned by or licensed to Kudos Ain Ltd and is protected by applicable intellectual property laws.

10.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your personal, non-commercial use as a member, in accordance with these Terms. This licence does not include the right to reproduce, distribute, or create derivative works from any Platform content.

10.3 Your Content

Any content you submit to the Platform (including but not limited to testimonials, feedback, or community posts) grants Kudos Ain Ltd a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display such content in connection with the Platform and our marketing materials.

10.4 Feedback

Any suggestions, ideas, or feedback you provide regarding the Platform may be used by Kudos Ain Ltd without any obligation to compensate you.

11. Disclaimers and Limitations of Liability

11.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

11.2 No Income Guarantee

11.3 Limitation of Liability

To the maximum extent permitted by applicable law, Kudos Ain Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of the Platform.

11.4 Maximum Liability

Our total liability to you for any claim arising from or relating to these Terms or the Platform shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

11.5 Consumer Rights

Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection laws that cannot be excluded or limited by law.

12. Termination

12.1 Termination by You

You may terminate your membership at any time by ceasing subscription payments. Your account will move to frozen status, your network will remain intact, and you may reactivate at any time by resuming subscription payments.

12.2 Termination by Us

We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or your continued membership poses a risk to the Platform or other members.

12.3 Effect of Termination

Upon termination of your account: any pending commission payments will be paid to your M-Pesa number within 30 days; your referral network data will be retained for legal and audit purposes; your access to Kudos Campus will cease; your Golden Code (if applicable) will be deactivated.

13. Governing Law and Disputes

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

13.2 Dispute Resolution

We encourage you to contact us in the first instance to resolve any dispute informally. Most issues can be resolved quickly through direct communication with our team at matt@kudosmiracles.org.

13.3 Jurisdiction

Subject to any mandatory consumer protection provisions in your jurisdiction, any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.4 Kenyan Members

For members based in Kenya, we acknowledge the applicability of Kenyan consumer protection law where it confers rights that cannot be excluded by contract, including the Consumer Protection Act 2012. Nothing in these Terms is intended to exclude or limit such mandatory rights.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, applicable law, or our operating practices. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active members via WhatsApp or email at least 14 days before the changes take effect
• Where required by law, seek your consent before implementing changes

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the Platform.
